These Terms of Use (the “Terms”) are an agreement between you and MindReel Labs Inc., a Delaware (USA) corporation, registered office at 16192 Coastal Highway, Lewes, Delaware 19958, USA (“Mindreel”, “we”, “us”). They govern your use of the Mindreel iOS and Android apps, the mind-reel.com website and web app, the Mindreel browser extension, and related services (together, the “Service”). By using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.
Mindreel helps you find and understand ideas in long-form, publicly available podcasts and videos. It produces short highlights, reels, transcripts, chapters, AI-generated “knowledge cards”, and answers to your questions, each attributed to the show, episode, and speaker it came from. Mindreel is a discovery and comprehension layer: it links to and plays creators’ original content, and is not a replacement for it.
You can use much of Mindreel without creating an account. Signing in (with Apple in our apps, or with Google on the web) is optional and adds features such as syncing your library across devices.
You must be at least 13 years old (or the higher minimum age that applies where you live) to use the Service.
Parts of the Service may be distributed as pre-release software, for example through Apple’s TestFlight or Google Play testing tracks. Beta versions are provided for testing, may contain errors, may change or remove features without notice, and your data in a beta build may be reset or lost. Your use of those programs is also subject to Apple’s or Google’s terms. If you submit feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction or compensation.
The podcasts, videos, and spoken words surfaced in Mindreel (“Third-Party Content”) are created and owned by their respective creators and rights holders. Regarding that content:
Creator and speaker requests: if you own content surfaced in Mindreel, or you appear in it, and want a transcript, quote, speaker label, summary, highlight, or your entire catalog corrected, excluded from processing or opted out of transcription, or removed, contact us at the address in Section 18. Tell us which show, channel, or episodes, and how you are connected to them. We will verify your request and act on it promptly.
Mindreel uses YouTube API Services, including the YouTube embedded player. By using Mindreel, you agree to be bound by the YouTube Terms of Service. YouTube’s handling of your information is governed by the Google Privacy Policy. If you connect a Google or YouTube account to Mindreel, you can revoke our access at any time through Google’s security settings.
Mindreel uses artificial intelligence to produce much of what you see in the Service, including transcripts, speaker labels, summaries, highlights, chapters, knowledge cards, extracted quotes, and “Ask” answers (“AI Output”). Some transcripts and chapters are provided by the show’s publisher and are labelled as such. AI Output is provided for general information only. It may be inaccurate, incomplete, outdated, or incorrectly attributed, and may not faithfully reflect the original source. Even content presented as a quotation, or attributed to a named speaker, may contain transcription, speaker-identification, or attribution errors, and does not necessarily reflect the views of the speaker, the creator, or Mindreel. Please verify information and quotations against the original episode — one tap away in the Service — before relying on them.
AI Output is not professional, medical, legal, financial, or investment advice and should not replace advice from a qualified professional. Because of how AI works, similar questions may produce similar output for other users.
You may submit questions, prompts, notes, links, and similar content to the Service. You retain ownership of what you submit, and you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display it only as needed to operate, secure, and improve the Service. If you submit a link to a podcast or video for processing, you confirm that you are entitled to access it and that it is publicly available. You are responsible for what you submit, and you agree not to submit anything unlawful, abusive, deceptive, infringing, or containing someone else’s sensitive personal information.

The Service — including the apps, website, software, design, branding, and the selection and arrangement of derived features (excluding Third-Party Content and your submissions) — is owned by MindReel Labs Inc. and protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms and, for our apps, the rules of the store you obtained them from.
We respect intellectual-property rights and respond to notices that comply with the US Digital Millennium Copyright Act (DMCA). If you believe material available through the Service infringes your copyright, send a notice to our copyright agent (contact in Section 18, subject line “Copyright notice”) including: (a) identification of the copyrighted work; (b) identification and location (such as a link) of the allegedly infringing material; (c) your contact information; (d) a statement of good-faith belief that the use is not authorized by the rights holder, its agent, or the law; (e) a statement, under penalty of perjury, that the notice is accurate and that you are authorized to act for the rights holder; and (f) your physical or electronic signature.
Counter-notice. If you believe material you submitted was removed by mistake or misidentification, you may send a counter-notice containing your signature, identification of the removed material and where it appeared, a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification, and your name, address, and phone number together with your consent to the jurisdiction of the federal district court for your address (or, if you are outside the US, any judicial district in which Mindreel may be found) and to accept service from the person who sent the original notice. We may restore the material in 10 to 14 business days unless the complainant tells us it has filed a court action.
Repeat infringers. We will, in appropriate circumstances, terminate the accounts of users who repeatedly infringe.
The Service depends on third-party platforms and services (for example YouTube, podcast hosting providers, Apple, and Google). We do not own or control them, do not endorse them, and are not responsible for their content or conduct; their own terms and privacy policies apply to your use of their services. Content availability may change if a third-party source changes or removes it.
These Terms are between you and MindReel Labs Inc. only — not with Apple Inc. or Google LLC. If you obtained our app from the Apple App Store: Apple is not responsible for the app or its content, and has no obligation to furnish maintenance or support, or to address any claims relating to the app (including product liability, legal compliance, consumer protection, or intellectual-property claims; any such claims are our responsibility, not Apple’s). In the event the app fails to conform to an applicable warranty, you may notify Apple and Apple will refund any purchase price paid (if any); to the maximum extent permitted by law, Apple has no other warranty obligation. Questions or complaints about the app go to us at the contact in Section 18. You represent that you are not located in a country subject to a US government embargo and are not on any US government restricted-party list. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT TRANSCRIPTS, SPEAKER LABELS, SUMMARIES, OR AI ANSWERS WILL BE ACCURATE OR COMPLETE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDREEL LABS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OPPORTUNITY, ARISING FROM OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE — INCLUDING RELIANCE ON ANY AI OUTPUT OR THIRD-PARTY CONTENT — EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) FIFTY US DOLLARS (US$50) AND (B) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN THAT CASE OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED.
To the extent permitted by law, you agree to indemnify and hold harmless MindReel Labs Inc. and its officers, directors, employees, and agents from claims, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Service. This does not apply to the extent a claim results from our own breach or misconduct.
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and both parties consent to their jurisdiction — except that either party may seek relief in small-claims court, and nothing in these Terms limits mandatory consumer-protection rights you hold under the laws of your country of residence.
You may stop using the Service at any time; you can delete your account in-app, and deleting an app removes its local data. We may suspend or terminate access that violates these Terms, and we may modify or discontinue the Service (especially during beta). We may update these Terms from time to time; we will post updates here and revise the “Last updated” date, and we will give reasonable advance notice in the Service of changes that materially reduce your rights. Continued use after changes take effect constitutes acceptance. Changes do not apply to disputes that arose before they took effect. Sections that by their nature should survive termination (including 5–11 and 14–17) survive.
